Order Policies and Terms & Conditions

Thank you for choosing Advanced Digital Textiles, LLC (“ADT”). We look forward to working with you! The following policies are designed to help streamline the process of printing your fabric and clarify important legal and operational terms.

 

Placing an Order

Purchase Order (PO)

We recommend using a Purchase Order for all orders. If you do not have a PO, please download our template.

By submitting a PO or otherwise engaging ADT for printing services, you agree to these Terms & Conditions.

Information Required on the Purchase Order

Bill To: Company name and contact details (physical address, email, phone).

Ship To: Company name and contact details (physical address, email, phone).

Preferred Shipping: Indicate shipping account and exact service required.

If using ADT’s shipper, specify shipping method (e.g., Overnight).

Design & Color Details: Include design/pattern name, P# for reorders, colorways, file references, and standard/Pantone numbers (note: $200 color matching fee if needed).

Post-Treatment: Softener? Stain repellent? (50-yard minimum).

Yardage: Minimum 3 yards per file per ADT fabric style.

Fabric Style: Which ADT fabric style to print on.

If using your own fabric (COM), see Section “COM Fabric” and notify info@advdigitaltextiles.com.

Continuous vs. Exact Yardage: Indicate if you need continuous yardage or an exact amount.

Requested Ship Date: ADT will confirm feasibility and advise if rush fees apply.

 

Changes to the PO

Once a PO is submitted, any changes may incur charges for work already performed and could delay the previously assigned ship date.

 

Delivery Schedule

Normal Lead Times

Fiber Reactive Prints: 4–5 weeks

Dye Sublimation: 2–3 weeks

Rush Orders

$250 rush service fee for 1–200 yards.

Cotton/Fiber Reactive: 10 business-day turnaround for orders under 300 yards.

Poly/Sublimation: 5 business-day turnaround for orders under 300 yards.

Orders above 300 yards are quoted on a case-by-case basis.

High-Volume Periods

Lead times may change from June to December due to increased volume.

 

Color Matching

Fee: $200 per design/colorway/fabric.

Additional Time: Up to 10 extra days.

Expedited Matching: If needed sooner, advise on PO; ADT will confirm feasibility.

 

Sampling & Revisions

Sample Prior to Production: $50 per design/fabric style.

Re-Matching: If you change the design/pattern to a different fabric style after colors are matched, a $200 fee applies.

 

 

Printing Quality Standards & Allowances

General Standard

ADT prints to customer specifications as first-quality, free from defects in workmanship.

Potential Print Flaws

Ink spots or smudges

Banding (brief misfire of print heads causing stripes or discoloration)

Picks/knots (areas where ink is absent due to loose threads, yarns, or fabric wrinkles)

Allowances for Defects

A minimum of 1/4 yard per print flaw is added to the piece.

Every effort is made to avoid misalignment or fabric grain issues.

Picks/knots from base fabric are dependent on fabric quality, especially visible on large solid areas. These are not considered ADT print defects.

Reprints on ADT Fabric

If an order must be reprinted (for reasons not covered above), the original yardage must be returned UNCUT to receive full credit.

ADT will provide a return shipping label upon request.

 

COM (Customer’s Own Material) Fabric

Requirements

Must be Prepared for Printing (PFP), wrinkle- and crease-free, and rolled on a tube.

Label each roll with company name, fabric name, yardage, and face side (if applicable).

If not on a tube, ADT can roll it for you:

$25 per 25 yards

$50 per 25 yards for silk

 

COM Fabric Minimums

Cotton or other natural fibers: 50-yard minimum to stock at ADT.

Polyester or other synthetic fibers: 10-yard minimum to stock at ADT.

Testing: 10-yard minimum; anything lower requires ADT approval.

Disclaimer

No allowances, credit, or reimbursements will be made for print issues arising from the character of COM fabric (e.g., color fastness, alignment, picks/knots, heat-set difficulties).

 

Working Loss & Shipping Variances

Working Loss

ADT reserves the right to a 15% working loss.

Over/Under Shipments

ADT may ship up to ±5% of the ordered yardage.

 

Payment Terms & Invoicing

Payment Methods

ADT accepts [specify your accepted methods: e.g., credit cards, checks, wire transfers, etc.].

Due Dates

Unless otherwise stated, invoices are due [e.g., Net 30 days from invoice date].

Late Payments

Overdue invoices may incur late fees or interest at [e.g., X% per month].

Invoice Disputes

Any dispute must be submitted in writing within [X days of invoice receipt]. Beyond that, the invoice is deemed accurate and payable in full.

 

 

Shipping & Risk of Loss

Risk Transfer

Unless otherwise agreed, risk of loss passes to the customer upon carrier pickup from ADT’s facility.

Damaged Shipments

Inspect shipments immediately upon arrival.

Any damage claims must be reported to ADT within [X days] of receipt, along with supporting documentation or photos.

 

Legal Disclaimers & Limitation of Liability

Warranty Disclaimer

ADT warrants only that printing services will be performed in a workmanlike manner consistent with industry standards. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED, including implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

In no event shall ADT be liable for special, incidental, consequential, or punitive damages (including lost profits), whether in contract, warranty, negligence, or otherwise.

ADT’s total liability for any claim arising out of or relating to these Terms shall not exceed the total amount paid to ADT for the specific order giving rise to the claim.

 

Confidentiality & Intellectual Property

Confidentiality

ADT agrees to handle any confidential or proprietary information provided by the customer with reasonable care and solely for the purpose of fulfilling the order.

Intellectual Property

Customers retain all rights to their designs, logos, and artwork.

By submitting designs to ADT, you grant ADT a limited, non-exclusive license to reproduce such designs solely for the purpose of printing the requested fabric.

 

Force Majeure

Definition

ADT is not liable for delays or inability to fulfill orders due to causes beyond its reasonable control, including natural disasters, strikes, pandemics, supply chain disruptions, or governmental actions.

Effect

If a force majeure event occurs, ADT will notify the customer as soon as feasible, and both parties will work together in good faith to agree on a revised schedule.

 

Governing Law & Dispute Resolution

Governing Law

These Terms & Conditions are governed by the laws of the State of [Your State], without regard to its conflicts of law principles.

Venue

Any dispute arising from these Terms will be resolved in the state or federal courts located in [County/State], and the parties consent to the personal jurisdiction of these courts.

Alternative Dispute Resolution (optional)

The parties may mutually agree to arbitrate or mediate any dispute in lieu of litigation.

 

Acceptance of Terms

By submitting a Purchase Order, or otherwise engaging ADT’s printing services, the customer acknowledges and agrees to be bound by these Terms & Conditions.

ADT reserves the right to modify these Terms & Conditions at any time. The latest version will be posted on ADT’s website and will govern all future orders.
